How Process Service Works

BACKGROUND ON DXC TECHNOLOGY

DXC Technology was founded on April 3, 2017, when the Hewlett Packard Enterprise Company (HPE) spun off its Enterprise Services business and merged it with Computer Sciences Corporation (CSC). Computer Sciences Corporation (CSC) and HPE separated out their Enterprise Services division on April 3, 2017, becoming DXC Technology (CSC). DXC Technology had sales of twenty-five billion dollars at the time of its founding. 

The Hewlett-Packard Enterprise (HPE) split occurred on November 1st, 2015, in San Jose, California. It is a business-oriented company that focuses on servers, storage, networking, containerization software, and consultancy and support. HPE’s yearly revenue for the fiscal year ending on October 31st  was close to thirty billion dollars, a 5.57 percent decrease from the previous year’s total.

HOW THE SPLIT CAME TO BE

The separation was arranged such that HP Inc. would be renamed Hewlett-Packard and Hewlett-Packard Enterprise would be spun off as a separate firm. Hewlett-Packard Enterprise (HPE) trades under its own ticker symbol, HPE, currently. HP Inc. preserved the former HP’s personal computer and printer operations, as well as its stock price history and original NYSE ticker symbol for Hewlett-Packard. DXC Technology is the result of a 2017 spinoff of the company’s Enterprise Services division and a merger with Computer Sciences Corporation. In addition, Micro Focus acquired the company’s software division, which had been split off. HPE was listed as the 107th biggest U.S. company by total revenue in the 2018 Fortune 500. The Mphasis Limited reporting unit and the Communications and Media Solutions product division were not included in the split from Hewlett Packard Enterprise. They are both constituents of the Enterprise Services sector. Perspecta Inc. was formed in 2017 as a spin-off from DXC’s US public sector business. Located in the United States, Perspecta Inc. provides services to the federal government.  Vencore, Inc. and KeyPoint Government Solutions merged in 2018 to establish Perspecta, a spin-off of DXC Technology’s U.S. Public Sector division. The Defense Manpower Data Center’s (DMDC) mission-critical program for contractor management would continue to be supported by Perspecta under a possible five-year, thirty-eight million dollar contract award as announced in February 2021, according to Perspecta (DOD). The organization will also endeavor to tell the Department of Defense about the state of humanitarian and peacekeeping mission troops, training, and security. Ongoing assistance with software and hardware development and quality assurance is also on the agenda for Perspecta.  Peraton, owned by Veritas Capital, purchased the firm in May 2021 for seven billion dollars. Atos, a French technology services and consulting business, ceased negotiations with DXC in February 2021 over a possible purchase. HOW DXC EXPANDS ITS BUSINESS

With Tribridge, a Microsoft Dynamics 365 solutions provider, the firm completed its first purchase in 2017. Molina Medicaid Solutions (formerly part of Molina Healthcare), Argodesign, and two ServiceNow partners, BusinessNow and TESM, were among the further acquisitions announced in 2018.

Most notably, Luxoft was bought by DXC Technology in January 2019. According to the SEC database, DXC Technology currently owns 83% of Luxoft’s stock. The acquisition was finalized in June of this year. DXC expects to have 98,000 delivery personnel and 47,000 people in its worldwide innovation and delivery centers by the end of June 2021. (GIDC). The Philippines, Eastern Europe, and Vietnam round out the top five. The first part of DXC’s three-pronged acceleration trip, which was completed in the financial year 2020-21, was the stabilization phase. The next step is to lay the groundwork. DXC SUBSIDIARIES

Computer Sciences Corporation (CSC) was an American multinational corporation that offered information technology (IT) services and professional services. On April 3, 2017, it combined with the Enterprise Services division of business of HP Enterprise (previously Electronic Data Systems) to establish DXC Technology.  Roy Nutt and Fletcher Jones launched CSC in April 1959 in Los Angeles, California.  Originally, CSC offered programming tools such as an assembler and a compiler.

CSC supplied software development services to major computer manufacturers such as IBM and Honeywell in the 1960s and won their first public sector contract with NASA (among others).

By 1963, CSC had grown to become the biggest software business in the United States and the first to be listed on the New York Stock Exchange.  CSC was listed on the New York Stock Exchange and operated in Canada, India, the United Kingdom, Germany, Spain, Italy, Brazil, and the Netherlands by the end of 1968.

CSC is one of the world’s largest suppliers of information technology services. CSC has significant operations in North America, Europe, Asia, and Australia. Until the 2015 divestiture of NPS, the corporation operated in three major service lines or sectors for purposes of Virginia Process Service, being [A.] the North American Public Sector (NPS); [B.] Managed Services and [C.]  Business Solutions and Services.  Since 1961, CSC has been a prominent supplier of information technology services to the United States federal government. CSC supplied services to the Department of Defense, law enforcement, and intelligence agencies (FBI, CIA, and Homeland Security), as well as aeronautics and aerospace agencies in the United States (NASA).

DX Company LLC was formed on 13th April 2006 and is currently active in Virginia in accordance with Virginia Process Service  The entity is a domestic limited liability company, having qualified for Virginia Process Service from 13th April 2006. It retains its principal office in Alexandria, Virginia. Since a limited liability company must be managed by a member, Process Service may also be levied upon the designated members. 

One or more organizers must sign the articles to comply with Virginia Process Service. This must include the signature and printed name of each person who signs.  Providing an entity phone number or email address for Virginia Process Service allows for quicker communication if there is an issue with the filing. 

Luxoft, a DXC Technology Company, is a global digital strategy and software engineering organization. The company’s headquarters are in Zug, Switzerland. Luxoft USA, Inc. is located in New York, NY, the United States and is part of the Computer Systems Design and Related Services Industry for purposes of New York City Process Service  

In 2000, Luxoft was formed in Moscow under the guidance of Dmitry Loschinin. In 2008 it bought ITC Networks in Bucharest. In 2013, Luxoft was listed on the New York Stock Exchange, after an initial public offering of four million shares for USD 17.00 per ordinary share. UBS Limited, Credit Suisse Securities (USA) LLC, J.P. Morgan Securities LLC, VTB Capital PLC, and Cowen and Company, LLC were the joint book-running managers for the offering. 

In January 2019, Luxoft was bought by DXC Technology. Luxoft teamed with LG Electronics to design a next-generation Autonomous Mobility concept car that merges users’ individualized digital lives into a riding experience. Luxoft enabled Switzerland’s first Blockchain-based e-vote platform with the City of Zug and Hochschule Luzern’s Blockchain Lab. Luxoft operates a development facility in Romania (Bucharest)

Gainwell Technologies LLC is a  Limited Liability Company active in Virginia from 18th  March 2010, though it was formed on 17th December 2009. The entity is active perpetually to receive Virginia Process Service with an office located in  Henrico County. The entity retains C T Corporation System as its registered agent for Virginia Process Service since it has an office in Glen Allen. The registered agent’s sole duty is to accept legal documents, Virginia Process Service, and notices on behalf of the company. The limited liability company may not serve as its own registered agent for Virginia Process Service. The registered agent must be an individual or entity that meets one of the qualifications.

However, Gainwell Technologies LLC actually retains its principal office in Long Beach, California. The principal office of California Process Service is the location of the company’s principal executive offices. Unless the information is available electronically, the company must keep a current list of its members and other internal company records at the principal office. It must be known that a company is only allowed to use a rural route and box number if their principal office has no street address. A post office box is not allowed in any sense, however, if the company wants to comply with California Process Service requirements. 

A Delaware-founded corporation, DXC Technology Services LLC, maintains an address in Virginia while being formed in Delaware. Due to the fact that the company is based in Delaware, it is deemed a foreign LLC. The company was incorporated on August 14th, 2017 in Suffolk. This is the place where Virginia Process Service resident agent, Corporation Trust Company is located. The entity retains its principal office in Virginia. 

For a foreign limited liability company in Virginia, one of the authorized officials with the right and power to manage  the company’s business affairs must sign the application, being [A.] a manager; [B.] a person delegated the right and power to manage the LLC’s  business and affairs [C.] a member if there is no manager or other such person selected  or [D.]  a person authorized to sign post-formation documents on  behalf of the LLC

Online submission of foreign business entity registrations is possible as per Virginia Process Service. However, the conditions for filing an application to do business in Virginia are varied for various foreign corporations. Using the LLC-1052 form is required for overseas limited liability firms to comply with Virginia Process Service. 

With this Commission-prescribed application, a certified or otherwise authenticated copy of the LLC’s articles of organization and all amendments and corrections thereto, authenticated within the past twelve months by the Secretary of State or other public officials with custody of company records in its jurisdiction of formation must be submitted. Certification must indicate that each document is a ‘true and correct copy of the official records or words to that effect. The filing fee of the same is a hundred dollars. 

DXC US Communications LLC is a foreign limited liability company for Virginia Process Service requirements. The entity first filed for incorporation with the Delaware Department of State on 25th  May 2012, qualifying for Virginia Process Service on 14th June 2012. The entity thus falls under Delaware jurisdiction with Corporation Service Company being its registered agent for Virginia Process Service. However, the entity retains an office in Suffolk, Delaware.
