LEGAL ISSUES AGAINST EXXONMOBIL

ExxonMobil was accused of their delayed reaction to the 1989 Exxon Valdez oil leak in Alaska for being one of the worst petroleum deployments in the world as regards environmental impact. ExxonMobil has been pushing for denial of climate change and against the scientific consensus that global warming is caused by the combustion of fossil fuels. The business has also been the subject of charges of inappropriately addressing human rights problems, influence on US foreign policy, and their effect on the future of countries/ 

The Exxon Valdez oil spill occurred on 24 March 1989 in the province of Prince William Sound, Alaska, when Prince William Sound’s Bligh Reef was hit by Exxon Valdez, an oil tanker belonging to Exxon Shipping Company bound for Long Beach, California,  west of Tatitlek, Alaska, which spilled ten million gallons of crude oil during the next few days.

The incident was dubbed the worst oil spill in the world in terms of environmental impact. The Exxon Valdez spill is the second biggest in US seas in terms of oil emissions, after the 2010 Deepwater Horizon oil disaster. The isolated position of Prince William Sound, accessible by helicopter, airplane, or boat only, has made government and industry responses difficult and made it particularly challenging to execute current response plans. The territory is a salmon, otter, seal, and seabird habitat. The oil produced in the Prudhoe Bay Oil Field ultimately impacted 1,300 kilometers of coastline, two hundred of which were severely or moderately oiled.

ExxonMobil was also sued for the Brooklyn oil spill in the years that came after.

ExxonMobil Aviation Inc is the aviation and jet control center for ExxonMobil, established in Delaware.  Furthermore, since it is a foreign limited liability corporation an address for mailing retained in Woodland Texas, service guidelines will not apply. In addition to the statutes designating the Secretary of State as process agent, the procedures for serving a person through the Secretary of State are governed by Rule 71.21 of the Secretary of State’s administrative rules, the Texas Rules of Civil Procedure, the local court rules, and any other applicable law.  Service on the Secretary of State may be made by: [A.] a sheriff or constable, [B.] a person over 18 years of age authorized by written order of the court, [C.] a person certified under the order of the Supreme Court, [D.] the clerk of the court in which the case is pending (by certified mail, return receipt requested) [E.] the party or the representative of the party (by certified mail, return receipt requested) or [F.] any other person authorized by law.

ExxonMobil Capital Corporation has been established on 15th December 1998 in the state of Delaware. Although the entity is currently stationed in the Woodlands, Texas, the jurisdiction of ExxonMobil Capital Corporation falls under that of Delaware instead. Consequently, the entity is a foreign corporation for instances of Texas Process Service. This would render Texas statutes to apply specifically considering the nature of ExxonMobil as a foreign corporation, requiring the entity to adhere to further rules that a domestic corporation might not necessarily have to fall under. The law generally requires service by hand delivery or by certified mail, return receipt requested. The Secretary of State also accepts service by regular mail. The entity should review the applicable laws to ensure that the chosen delivery method accomplishes proper service.

Consequently, the entity is a foreign corporation for instances of Texas Process Service. 

For a foreign corporation to function in Texas, it is necessary to retain a registered agent for Texas Process Service. The registered agent for Texas Process Service on  ExxonMobil Delaware Holdings Inc is, however, not publicly known. Texas Process Service upon the entity is this levied in another manner. However, for most other ExxonMobil subsidiaries, the registered agent for Texas Process Service is Corporation Service Company, located in Austin. 

It should be known that while a registered agent for service of process is required for a foreign corporation, for the purpose of service of process, notice, or demand, any executive officer could be an agent. This means that the president and each vice president of a domestic or foreign corporation is an agent of that corporation and the same principle holds forth to retain each partner and general partner of a domestic or foreign limited to be an agent of that partnership. Even if the officer is not the highest individual on the hierarchy is considered to be an agent of the entity, which would also include members of non-profit corporations with the authority or any individual who is a governing person of a domestic or foreign entity.

ExxonMobil Export  Holdings Inc was set up in the state of Delaware. Although the entity is currently stationed in the Woodlands, Texas, ExxonMobil Export  Holdings Inc is subject to Delaware rules to conduct business. Consequently, the entity is a foreign corporation for instances of Texas Process Service. ExxonMobil Export is one of the oldest subsidiaries of ExxonMobil, having been established on 29th December 1978.

For a foreign corporation to function in Texas, it is necessary to retain a registered agent for Texas Process Service. The registered agent for Texas Process Service on  ExxonMobil Export Holdings Inc is different from other ExxonMobil subsidiaries. While most other ExxonMobil subsidiaries retain the registered agent for Texas Process Service as Corporation Service Company, located in Austin, ExxonMobil Export retains Prentice-Hall Corporation System as their registered agent instead. The registered agent designated and maintained by a domestic limited liability company or foreign entity is an agent of each series of the company or entity for the purpose of service of process, notice, or demand required or permitted by law to be served on a particular series of the company or entity. This would mean that there are certain considerations that need to be achieved for Texas Process Service to be completed. This would include situations like the process, notice, or demand currently required by law to be served the foreign entity that is served on the company’s or entity’s registered agent to specifically include: [A.]  the name of the company or entity; and [B.] the name of the series on which the process, notice, or demand is required or permitted to be served.

ExxonMobil Gas Ventures Inc. was formed in the State of Delaware on 13th March 1995. In order for a foreign company to operate in Texas, a registered Texas Process Service agent must be retained. ExxonMobil Capital Corporation’s registered Texas Process Service agency is Prentice-Hall Corporation System based in Austin. On  Texas Process Service or receipt of Texas Process Service, Prentice-Hall Corporation System would have to [A.] receive or accept, and forward to ExxonMobil Gas Ventures at the address most recently provided to the registered agent by the represented company or entity, or [B.] otherwise notify the represented company or entity at the address regarding the process, notice, or demand that is served on or received by the registered agent. 8. New York Attorney General Andrew Cuomo announced on July 17, 2007, that he had filed suit against the Exxon Mobil Corp. and ExxonMobil Refining and Supply Co. to force cleanup of the oil spill at Greenpoint, Brooklyn, and to restore Newtown Creek.

A study of the spill released by the US Environmental Protection Agency in September 2007 reported that the spill consists of 17 to 30 million US gallons (64,000 to 114,000 m3) of petroleum products from the mid-19th century to the mid-20th century. The largest portion of these operations were by ExxonMobil or its predecessors. By comparison, the Exxon Valdez oil spill was approximately 11 million US gallons (42,000 m3). The study reported that in the early 20th century Standard Oil of New York operated a major refinery in the area where the spill is located. The refinery produced fuel oils, gasoline, kerosene, and solvents. Naptha and gas oil, secondary products, were also stored in the refinery area. Standard Oil of New York later became Mobil, a predecessor to Exxon/Mobil.
