Virginia-based General Dynamics Corporation (GD) is a publicly listed American aerospace and military company. The entity competes with companies like Lockheed Martin and Boeing in its efforts to be a global leader. 

The company was founded in 1954 when submarine maker Electric Boat and airplane manufacturer Canadair merged. It now has ten subsidiary firms operating in close to fifty countries. Business jets, nuclear-powered submarines, guided-missile destroyers, M1 Abrams tanks, and Stryker armored battle vehicles are all part of the company’s product line.  Phebe Novakovic is the company’s current chairman and CEO.

HISTORY

Holland Torpedo Boat Company was a forerunner of General Dynamics.  The Electric Boat Company was founded in 1899 when Isaac Rice purchased the business from John Phillip Holland. Electric Boat was in charge of creating the first modern submarines for the United States Navy, which were acquired in 1900.

As early as 1906, Electric Boat engaged with Fore River Shipyard in Quincy, Massachusetts, for subcontracting of submarine construction. The corporation went under the name Submarine Boat Corporation from 1917 until 1924. A submarine shipyard in Groton, Connecticut, was bought by Electric Boat in 1933. The USS Cuttlefish, a submarine constructed in Groton and delivered to the United States Navy in 1934, was the first of its kind.

After the Second World War, when it built eighty Navy submarines, Electric Boat was cash-strapped but deficient in employment, with its staff dropping to almost half its size by 1946. Hopkins began seeking firms that might fit into Electric Boat’s market in order to broaden the company’s customer base.

Canadair’s role in aircraft manufacturing grew, and Hopkins claimed that the term ‘Electric Boat’ no longer applied. As a result, on April 24, 1952, Electric Boat became General Dynamics. In March 1953, General Dynamics bought Convair from Atlas.

Government monitoring accepted the transaction as long as General Dynamics continued to operate out of Fort Worth’s Air Force Plant 4. While the war was going on, Convair rented out this plant to help spread out the manufacturing of strategic aircraft such as the B-24 Liberator bombers. Convair was a separate business unit of General Dynamics. After then, the F-106 Delta Dart Interceptor, B-58 Hustler, and Convair 880 and 990 jetliners were all launched. Additionally, Convair unveiled the Atlas missile platform, which was the world’s first operational intercontinental ballistic missile.

Before a Federal antitrust judgment in January 1969 required GD to sell Liquid Carbonic to its stockholders, the company had been bought by General Dynamics in September 1957 and managed as a fully owned subsidiary. The Houston Natural Gas Company purchased Liquid Carbonic the following month.

GENERAL DYNAMICS MISSION SYSTEMS, INC. 

General Dynamics Mission Systems, Inc Stock Corporation is currently active and in good standing in Virginia. The entity comes under Delaware jurisdiction, although it registered itself under Virginia Process Service on 31st December 2002 after having to pay the Virginia Process Service charter fee of USD 50.  The entity retains its principal office in Fairfax.

General Dynamics Mission Systems, Inc retains CT Corporation System as the registered agent for Virginia Process Service since CT Corporation System has an office in Henrico County in its capacity to be an agent for a business entity that is authorized to transact business in Virginia. However, Virginia Process Service may also be served upon the higher officers of the business. 

GENERAL DYNAMICS-OTS, INC

General Dynamics-OTS, Inc is a Stock Corporation that was incorporated on 19th November 1996 in Virginia Process Service may also be done upon the President and other authorized officers in lieu of process service on the registered agent.

Stock and nonstock companies are both legal entities in Virginia, each with its own set of articles of incorporation laws. Business firms in Virginia often create stock corporations, while nonprofit organizations typically form non-stock corporations.

Companies that issue shares are known as stock corporations. In expectation of receiving dividends or reselling their stock at a profit, shareholders hang on to their shares. It’s possible that non-stock businesses have members, who act much like shareholders, but they don’t really ‘own’ any part of the company; instead, they merely have a membership interest. Club, rescue squad, or a religious group membership are examples of the common link among members.

In other states, business corporations can form nonstock corporations. Due to this constraint, most companies that want to make a profit choose to form stock corporations.

GENERAL DYNAMICS COMMERCIAL CYBER SERVICES, LLC

General Dynamics Commercial Cyber Services, LLC is a domestic Limited Liability Company in Virginia that was established on 10th October 2014. 

The entity comes under Virginia jurisdiction, although it retains a registered agent in the state. CT Corporation Systems is the registered agent in Henrico County, although the entity retains its principal office in Fairfax. The principal office is the location of the corporation’s principal executive offices. The corporation must make available certain corporate records at the principal office. Consequently, they can only use a rural route and box number if the principal office has no street address. A post office box is not allowed

The registered agent’s sole duty is to receive legal documents and notices on behalf of the corporation. The corporation may not serve as its own registered agent. The registered agent must be an individual or entity that meets one of the qualifications.  The registered office location must be identical to the registered agent’s business office. 

GENERAL DYNAMICS GLOBAL FORCE, LLC

General Dynamics Global Force, LLC is a foreign LLC incorporated in the state of Delaware, although it retains an address for Virginia Process Service at Fairfax.  The entity is considered to be a foreign LLC since the business does work under Delaware jurisdiction. The entity was registered on 7th August 2009 in Virginia. The resident agent for Virginia Process Service CT Corporation Systems in Glen Allen.

Foreign business entity registrations may be submitted online. However, different foreign entities have different requirements for submitting an application to transact business in Virginia. For foreign limited liability companies,  it is necessary to use form LLC-1052.

From the secretary of state or other custodians of business entity records in the state or other jurisdiction in which the business entity is formed or existing, it is necessary to obtain an authenticated (i.e., certified) copy of the business entity’s organizational documents, including all amendments. Exception: a registered limited liability partnership will need to provide a certificate of status instead of its organizational documents. The fee for this is a hundred dollars for foreign limited liability companies, business trusts, limited partnerships, and registered limited liability partnerships.

GENERAL DYNAMICS MISSION SYSTEMS, INC.

On January 1, 2015, the resources of General Dynamics Advanced Information Systems, Inc. and General Dynamics C4 Systems, Inc. were combined as General Dynamics Mission Systems. 

General Dynamics Mission Systems, Inc. is an entity that comes under Delaware jurisdiction. The entity is, however, registered with the Virginia State Department as a foreign stock corporation for adequate Virginia Process Service. General Dynamics Mission Systems, Inc has been incorporated in Virginia on 31st December 2002, whereinafter Virginia Process Service has been levied upon it. 

By ‘registering’ with the Commission, an out-of-state business entity receives an authorization or registration to do business in the Commonwealth of Virginia. After registering in Virginia, it is no longer incorporated, organized, or established under the laws of the foreign jurisdiction.

Foreign corporations, limited liability companies, and business trusts that want to operate in Virginia must go through the domestication procedure. To put it another way, the foreign jurisdiction’s laws are repealed, and Virginia’s laws take their place as the entity’s incorporation, organization, or formation. It is possible to submit Articles of Domestication in the CIS online.

The laws of the foreign jurisdiction must explicitly permit ‘re-domestications’ before a foreign corporation, limited liability company, or business trust may domesticate in Virginia. There is an ‘exiting’ document that is filed with the foreign jurisdiction as part of this procedure.

Foreign corporations, limited liability companies, and business trusts cannot alter their corporate type when domesticating in Virginia, according to Virginia law. A foreign company can only be converted to a Virginia company, for example.

Laws in certain foreign countries categorize domestication as a ‘conversion’ since the business company is permitted to alter its entity type as a result of the domestication procedure itself. Even though the Clerk’s Office recognizes these enabling legislation, a business entity that domesticates as a Virginia business entity cannot alter its entity type.

General Dynamics Mission Systems, Inc retains CT Corporation Systems as a registered agent for Virginia Process Service. Virginia Process Service may also be levied upon the principal office or any individuals authorized to accept service therein. 

GENERAL DYNAMICS LAND SYSTEMS INC.

General Dynamics Land Systems (GDLS) is a manufacturer of military vehicles such as tanks and lighter armored fighting vehicles. Chrysler Defence, a thriving defense firm, was sold to General Dynamics in February 1982 for around three hundred and fifty million dollars.

Formerly known as General Dynamics Land Systems, this division is in charge of the Lima Army Tank Plant, as well as the General Dynamics Anniston Operations in Anniston, Alabama. Sterling Heights, Michigan, is home to the company’s headquarters.

General Motors bought GM Defense in 2003 from General Dynamics Land Systems – Canada (GDLS-C), a company located in London, Ontario.  General Dynamics Land Systems Inc. retains its principal office in Sterling Heights although the entity was incorporated in the state of Delaware instead, rendering it a foreign corporation for purposes of Virginia Process Service. The entity was registered in Virginia on 4th December 1992. The resident agent for Virginia Process Service is  CT Corporation System. However, Virginia Process Service is also acceptable if levied upon an executive in high standing with the entity. 

GENERAL DYNAMICS INTERNATIONAL CORPORATION

General Dynamics International Corporation is a foreign stock corporation registered in California on 26th April 2000 gauging by Virginia Process Service. However, the entity itself comes under Delaware jurisdiction. The registered Corporate Agent for Virginia Process Service is the CT Corporation System.  General Dynamics International Corporation has its headquarters in Reston, Virginia wherein Virginia Process Service may be levied. The industry code for General Dynamics International Corporation is 0 for a general corporation

In the late nineteenth century, General Dynamics Corporation (GD) was a naval manufacturer for the United States and other nations. The company is a producer of a wide range of products, including military and aerospace systems, as well as marine and land-based systems. F-16 fighter-bombers are still regarded as the workhorses of air forces all around the globe, even though manufacturing has halted.

For the Virginia-class nuclear attack submarines and Zumwalt-class destroyers, this business is a major subcontractor.
